These Storage Provider Terms and Conditions ("Agreement") are between you ("Storage Provider," "you," or "your") and SILO, an India-based company ("Company," "SILO," "we," or "us"), and govern your participation in the SILO distributed storage network by operating one or more storage nodes ("Storage Nodes").

By downloading, installing, running, or configuring SILO node software, or by sharing storage capacity and bandwidth on the Storage Network, you agree to this Agreement, our Privacy Policy, and Terms of Use. You represent that you are at least 18 years old and authorized to enter this Agreement.

PLEASE READ CAREFULLY. THIS AGREEMENT INCLUDES LIMITATIONS OF LIABILITY AND GOVERNS HOW YOU EARN COMPENSATION FOR PROVIDING STORAGE.

1. Definitions

  • Storage Node Software – software that enables a device to participate in the Storage Network;
  • Storage Node – a device running Storage Node Software connected to the Storage Network;
  • Space – storage capacity you make available;
  • Bandwidth – upload/download capacity used to transfer Storage Materials;
  • Storage Materials – encrypted customer data stored on the Storage Network;
  • Node ID – unique identifier assigned to a Storage Node;
  • Storage Provider Fees – compensation payable for eligible use of your Storage Node.

2. Storage Provider Services

SILO provides storage services to Customers through the Storage Network. You may participate by making Space and Bandwidth available via Storage Node Software subject to this Agreement and applicable open-source license terms for the software.

You receive a limited, non-exclusive, non-transferable right to operate Storage Nodes during the term of this Agreement for participation in the Storage Network only.

3. Grant of Access to Storage Node

By sharing Space and Bandwidth, you grant SILO and Customers the right to store and retrieve encrypted Storage Materials on your Storage Node according to parameters set in the Storage Node Software and this Agreement.

4. Storage Provider Responsibilities

You agree to:

  • Comply with this Agreement, Documentation at docs.silos3.com, and applicable law;
  • Maintain minimum technical requirements published in Documentation (including uptime, bandwidth, and capacity thresholds);
  • Keep Storage Node Software reasonably updated and not tamper with audits, reputation systems, or security controls;
  • Maintain physical and network security of devices hosting Storage Nodes;
  • Perform a graceful exit by allowing data migration before permanently disconnecting a node, when instructed by the Software or SILO; and
  • Provide accurate payout and tax information, including PAN/GST details where required under Indian law.

You acknowledge that operating a Storage Node may consume device resources and bandwidth. SILO may suspend participation for violations or security risk.

5. Restrictions

You may not: reverse engineer or circumvent the Storage Network; attempt to access decrypted Storage Materials; manipulate uptime, bandwidth, or audit reporting; operate multiple nodes to evade limits; retain Storage Materials after termination or disqualification; or use the Storage Network for unlawful purposes.

6. Audits and Containment

You authorize SILO to audit Storage Node performance and compliance. If a node fails audits or becomes unavailable, it may enter containment or disqualification status, during which it may not receive new data or fees until resolved. Persistent failures may result in permanent disqualification.

7. Storage Provider Fees and Taxes

Subject to this Agreement, SILO will pay Storage Provider Fees based on eligible storage and bandwidth usage according to rates published in Documentation or the Storage Node dashboard. Rates may change with notice through Documentation or the dashboard.

Payments may be made in fiat currency, digital assets, or other methods SILO supports, as disclosed at payout setup. You are responsible for all taxes, including income tax and GST obligations arising from fees you receive. SILO may withhold taxes as required by Indian law.

Fee holds, vesting schedules, or disqualification forfeitures may apply as described in Documentation. You are not entitled to fees for ineligible usage, garbage data, or periods of non-compliance.

8. Term and Termination

This Agreement begins when you first operate a Storage Node and continues until terminated. Either party may terminate at any time. Upon termination, you must complete any required graceful exit process. SILO may withhold unpaid fees if termination results from your breach.

9. Ownership and Confidentiality

SILO retains all rights in the Storage Services, Documentation, and aggregated operational data, except for open-source components. You must protect SILO confidential information and not disclose non-public telemetry or business information.

10. Indemnification

You will indemnify SILO from claims arising out of your operation of Storage Nodes, your breach of this Agreement, or your violation of law, to the fullest extent permitted by Indian law.

11. Disclaimers and Limitation of Liability

STORAGE NODE SOFTWARE AND STORAGE MATERIALS ARE PROVIDED "AS IS." SILO DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW.

SILO'S AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT WILL NOT EXCEED INR 2,000 OR THE STORAGE PROVIDER FEES PAID TO YOU IN THE THREE (3) MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

12. Governing Law and Disputes

This Agreement is governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, unless resolved through good-faith negotiation via [email protected] followed by arbitration under the Arbitration and Conciliation Act, 1996 with seat in Bengaluru.

13. General

SILO may update this Agreement by posting a revised version and updating the "Last updated" date. Continued operation of a Storage Node after changes constitutes acceptance. You are an independent contractor, not an employee or agent of SILO. Notices to SILO: [email protected]. Survival: fees, ownership, confidentiality, indemnity, disclaimers, liability limits, and dispute sections survive termination.
